Retailer Agreement

Effective: Pre-launch — see notice below

Pre-launch compliance notice. HTF Market is not yet accepting alcohol payments. All alcohol transactions must be completed directly with licensed retailers. This document will be finalized with counsel before any payment functionality is enabled.

1. Retailer Eligibility

To participate on HTF Market as a retailer, you must hold a valid state alcoholic beverage retail license in good standing. By creating a retailer account, you represent and warrant that your license is current, valid, and not subject to suspension, revocation, or any disciplinary action.

2. Listings and Offers

Retailers may post Buy Now listings and respond to customer offer requests. All listings and offers must reflect actual, in-stock inventory. Stock confirmation and (where applicable) UPC verification are required.

3. In-Store Transactions Only

Retailers acknowledge that all sales completed through introductions made on HTF Market occur in-person at the retailer's licensed premises. HTF Market does not collect payment, process transactions, or arrange shipping. The retailer is solely responsible for the in-store transaction, including age verification at point of sale, payment collection, applicable taxes, and compliance with all state and local laws.

4. Compliance with Law

Retailer agrees to comply with all federal, state, and local laws governing the sale of alcoholic beverages, including but not limited to: licensing, age verification, hours of sale, posted-price requirements, and any applicable tied-house or trade-practice rules.

5. Pricing Transparency

Retailers agree to honor the posted in-store price reflected in their HTF Market listing or offer at the time of customer pickup, subject to product availability and applicable taxes. Bait-and-switch pricing is grounds for account suspension.

6. Authenticity

Retailer represents that all products listed are authentic, sourced from authorized distribution channels, and properly stored. Counterfeit, gray-market, or improperly stored product is grounds for immediate removal and account termination.

7. Customer Communication

HTF Market facilitates the introduction; retailers communicate with customers consistent with applicable law and these terms. Retailers shall not solicit customers outside the Platform to circumvent the marketplace.

8. Fees

HTF Market does not currently charge retailers transaction fees. Any future fees will be disclosed in advance and require retailer acceptance before taking effect.

9. Suspension and Termination

HTF Market may suspend or terminate a retailer account at any time for violation of this Agreement, the Terms of Service, the Alcohol Compliance policy, or applicable law. Retailer may terminate participation at any time by contacting support.

10. Indemnification

Retailer agrees to indemnify and hold harmless HTF Market from any claims arising out of (a) the retailer's sale of alcoholic beverages, (b) breach of this Agreement, or (c) violation of applicable law.
